Act 2/95, of 23 March on LIMITED LIABILITY COMPANIES
The time period laid down by the Ley de Sociedades de Responsabilidad Limitada (Limited Liability Companies Act) of 23 March 1995 for the ADAPTATION OF THE STATUTES of this type of company to the new legal regulations expired on 31 May 1998.
Third provisional decree. Entering of documents in the Business Register.
"Three years having passed since the coming into force of the present Act, no documents whatsoever will be entered in the Business Register of any limited liability company until such company has entered the adaptation of its deeds or company statutes or exercised the marginal conformity note. Titles relating to adaptation to the current Act, to the cessation or resignation of administrators, directors, managing directors or liquidators, and to the revocation or renunciation of powers, as well as to the transformation of the company or to its dissolution and the naming of liquidators and the arrangements ordered by the judicial or administrative authorities are excepted."
DEPOSIT OF ACCOUNTS
Companies whose year-end is 31 December have until 30 July to deposit their Financial Statements in the Business Register. Failure to deposit financial statements may lead to the registry closure of the file opened for the company in accordance with article 378 of the prevailing Business Register regulation dated 19 July 1996.
